Exact Completes Acquisition of Orisoft Technology (Malaysia)

Delft, the Netherlands and Kuala Lumpur, Malaysia - February 27, 2009 - Exact Software has successfully completed the acquisition of leading HRM provider in Asia Orisoft Technology to further strengthen Exact's HRM solution offering in the Asian and Pacific region.

On January 2, 2009 Exact announced that it had acquired 94.64% of the listed shares of Orisoft, after making a public offer on the shares on November 10, 2008. Subsequently, Orisoft was delisted from MESDAQ Market on January 22, 2009 and the acquisition of the remainder of the shares, 5.36%, was completed today. The total purchase price, all in cash, amounted € 3.1 million.

This acquisition will accelerate Exact's expansion in the APAC region and by adding Orisoft's HRM platform it will further strengthen Exact's business empowerment software portfolio in that region. In turn, Orisoft will benefit from Exact's financial strength and geographic footprint in Asia as it continues to deliver best-in-class HRM software and services to the midmarket. Complementary product offerings will provide cross-sell opportunities on both sides and provide a platform to accelerate growth of Exact Synergy in Asia.
