Exact Announces Close of Public Offer on the Shares of Orisoft Technology (Malaysia)

Shareholders have offered 94.64 % of the shares of Orisoft to Exact

Delft, the Netherlands and Kuala Lumpur, Malaysia – January 16, 2009 - Exact Holding N.V., with reference to the press releases issued on November 10, 2008 and January 2, 2009 today announced that in response to the public offer 94.64 % of the outstanding shares of Orisoft have been tendered to its wholly owned subsidiary Exact Group B.V. (“Exact”). The public offer has been closed as per today.

During the offer period and the post offering period, 48,708,600 shares have been tendered to Exact. The offered shares represent 94.64 % of the outstanding shares of Orisoft and represent a value, based on the offer price of MYR 0.275, of MYR 13,394,865. The offer has been closed. Exact will invoke the right to compulsorily acquire the remaining shares from Orisoft shareholders of which the acceptances have not been received and will prepare the delisting of Orisoft from the Bursa Malaysia.
