Exact declares the Public Offer on the shares of Orisoft Technology (Malaysia) unconditional

Shareholders offer over 92.86% of the shares of Orisoft to Exact

Delft, the Netherlands and Kuala Lumpur, Malaysia – January 2, 2009 - Exact Holding N.V., with reference to the press release issued on November 10, 2008 today announced in response to the public offer that 92.86% of the outstanding shares of Orisoft have been tendered to its wholly owned subsidiary Exact Group B.V. (“Exact”).

During the offer period, 47,795,500 shares have been tendered to Exact. The offered shares represent 92.86% of the outstanding shares of Orisoft and represent a value, based on the offer price of MYR 0.275, of MYR 13,143,763. Based on the offer conditions, Exact declares the offer unconditional.

Shareholders of Orisoft, that have not yet offered their shares to Exact, will be allowed an additional term until January 19, 2009 to offer their shares to Exact.
